Terms of Service
Last updated: June 15, 2025
1. Acceptance of Terms
By creating an account or using any Nexus Suite product — including NexusCore CLI, NexusIDE, and the Nexus Suite Portal at nexus-suite.dev — you agree to be bound by these Terms of Service. If you do not agree, do not use the services.
2. Account Creation
You must provide a valid email address and create a password of at least 12 characters. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
3. Acceptable Use
You agree not to:
- Use the services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the services or related systems
- Interfere with or disrupt the integrity or performance of the services
- Reverse-engineer, decompile, or disassemble any proprietary components of the services
- Use the services to transmit malware, spam, or other harmful content
- Exceed rate limits or abuse API endpoints in a manner that degrades service for others
4. Subscription and Billing
Nexus Suite offers three tiers: Core (free), Pro ($19/month or $180/year), and Studio ($79/month or $756/year). Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. All fees are non-refundable except as required by law.
New users may be eligible for a one-time 14-day free trial of the Pro tier. No payment information is required during the trial. At the end of the trial, your account reverts to the Core tier unless you subscribe.
5. Cancellation and Downgrades
You may cancel your subscription at any time from the account dashboard. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. Downgrades from Studio to Pro are also scheduled at the end of the billing period.
Upon cancellation or downgrade, features exclusive to the higher tier become unavailable. Data associated with those features (such as sync data or private MCP servers) may be retained for 30 days before deletion.
6. Intellectual Property
NexusCore CLI and NexusIDE are open-source software released under the MIT License. You retain all rights to code, content, and data you create using Nexus Suite products. The Nexus Suite name, logo, and branding are trademarks of Nexus Suite and may not be used without permission.
Skills published to the Hosted Skills Hub remain your intellectual property. By publishing a skill as "public," you grant other Nexus Suite users a non-exclusive license to download and use the skill.
7. Limitation of Liability
To the maximum extent permitted by law, Nexus Suite and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the services.
The services are provided "as is" and "as available" without warranties of any kind, either express or implied.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
9. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the services. Your continued use of the services after changes take effect constitutes acceptance of the revised Terms.
